1. Acceptance of Terms

By accessing or using the Black Bear Labs platform, API, website, or any related services (collectively, the "Services"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use our Services.

2. Description of Services

Black Bear Labs provides financial data collection, aggregation, standardization, and delivery services through APIs and a web platform. Our services include real-time and historical market data, economic indicators, corporate filings, and related financial information.

3. Account Registration

To access certain features of our Services, you may be required to create an account. You agree to provide accurate, current, and complete information and to keep your account information updated. You are responsible for safeguarding your API keys and account credentials and for all activity that occurs under your account.

4. Permitted Use

You may use the data and services provided by Black Bear Labs for lawful purposes in accordance with your subscription plan. You may not redistribute, resell, or sublicense raw data feeds without explicit written permission. You may not use automated systems to scrape or extract data beyond your API rate limits. You may not attempt to reverse-engineer, decompile, or disassemble any part of our platform.

5. API Usage & Rate Limits

API access is subject to rate limits and usage quotas as defined by your subscription tier. Exceeding these limits may result in throttling, temporary suspension, or additional charges. We reserve the right to modify rate limits with reasonable notice.

6. Intellectual Property

All content, data structures, APIs, documentation, and software provided by Black Bear Labs are protected by intellectual property laws. You retain ownership of any applications or analyses you build using our data. Our proprietary data transformations, standardization schemas, and aggregation methodologies remain the exclusive property of Black Bear Labs.

7. Payment Terms

Paid subscriptions are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law. We reserve the right to change pricing with 30 days' notice. Failure to pay may result in suspension or termination of your account.

8. Limitation of Liability

To the maximum extent permitted by law, Black Bear Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or other intangible losses, resulting from your use of the Services. Our total liability shall not exceed the amount paid by you in the twelve months preceding the claim.

9. Termination

We may terminate or suspend your account and access to the Services at our sole discretion, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason. Upon termination, your right to use the Services will immediately cease.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms or the Services shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka, India.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website. Your continued use of the Services after changes constitutes acceptance of the modified Terms.
